Paying Agent, Transfer Agent and Registrar

We provide a suite of agency roles on privately placed instruments, offering a one-stop shop. We make payments of interest and principal and maintain an accurate holder register, facilitating any transfers between investors.

• As a paying agent, we act as a liaison between the issuer and the investors, ensuring timely and accurate distribution of interest and principal payments. We also handle any tax withholdings or deductions required by law or the terms of the instrument.
• As a transfer agent, we maintain the official record of ownership of the instrument, recording any changes in ownership that occur through transfers, assignments or pledges. We also facilitate communication between the issuer and the investors, providing notices, statements and reports as needed.
• As a registrar, we verify the authenticity and validity of the instrument, issuing certificates or book entries to confirm the instrument’s ownership and amount. We also prevent unauthorized issuance or duplication of the instrument, safeguarding the interests of both the issuer and the investors.
